1. Agreement to Terms

By accessing or using any website, product, or service operated by KA Digital, LLC d/b/a Ad Hook Vault, a Wyoming limited liability company ("Ad Hook Vault," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). This includes adhookvault.com and all associated products, tools, and digital content (collectively, the "Services").

If you disagree with any part of these Terms, you must not access or use the Services. These Terms apply to all visitors, users, subscribers, and purchasers.

2. Description of Services

Ad Hook Vault provides digital marketing tools, frameworks, and educational resources. Our current products and services include:

• Creative Intelligence System: A web-based application containing 543 hook frameworks and 36 visual formats with psychology breakdowns
• Hook Doctor GPT: A free AI-powered tool for generating ad hooks, built on OpenAI's ChatGPT platform
• Content Matrix: A strategic framework for psychology-driven ad creation
• Supplementary products: Including but not limited to the Ad Naming Convention Template, Hook Framework Library, Hook Evaluation Scorecard, and Iteration Scorecard
• Email communications: Tips, educational content, updates, and promotional offers

We reserve the right to modify, suspend, or discontinue any product or service at any time without prior notice.

3. Account Registration

Certain Services require you to provide a valid email address or create an account. By registering, you agree to:

• Provide accurate, current, and complete information
• Maintain the security of your account credentials and login details
• Accept responsibility for all activity that occurs under your account
• Notify us immediately of any unauthorized use

We reserve the right to refuse or terminate accounts at our sole discretion.

4. Purchases and Payment

4.1 Pricing

All prices are listed in US Dollars (USD) and are subject to change without notice. The price displayed at checkout at the time of your purchase is the price you will be charged.

4.2 Payment Processing

Payments are processed securely through our third-party payment processors. We do not store your full credit card information. By submitting payment, you represent that you are authorized to use the payment method provided.

4.3 Digital Product Delivery

Upon successful payment, you will receive access to your purchased digital product(s) via email and/or your account dashboard. Access is typically delivered immediately. If you experience any issues with delivery, contact us at [email protected].

4.4 Refund Policy

If you believe there has been an error with your purchase (e.g., duplicate charge, technical issue preventing access), please contact us within 7 days at [email protected] and we will work to resolve the issue.

5. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You agree NOT to:

• Use the Services to create false, misleading, or deceptive advertising
• Generate or publish content that violates any applicable laws or regulations
• Create content that infringes on the intellectual property rights of others
• Use the Services to harass, abuse, defame, or harm others
• Attempt to reverse-engineer, decompile, or extract underlying prompts, training data, or proprietary methodologies
• Use automated systems or bots to access the Services in an excessive or abusive manner
• Resell, redistribute, sublicense, or commercially exploit the Services or any content without our prior written permission
• Share account credentials or provide access to purchased products to unauthorized users
• Use the output or content to create directly competing products or services

6. Intellectual Property

6.1 Our Intellectual Property

All content, features, functionality, design, text, graphics, frameworks, methodologies, and code comprising the Services are owned by KA Digital, LLC d/b/a Ad Hook Vault and are protected by copyright, trademark, trade secret, and other intellectual property laws. Our trademarks and trade dress may not be used without our prior written consent.

6.2 Your License to Use

Upon purchase, we grant you a limited, non-exclusive, non-transferable, revocable license to:

• Access and use the purchased product(s) for your own business and marketing purposes
• Adapt hook frameworks and templates for your own advertising campaigns
• Use generated content and outputs in your commercial advertising

This license does not include the right to redistribute, resell, or publicly share the product content, frameworks, or methodologies.

6.3 Your Responsibility for Output

You are solely responsible for ensuring that any content you create using our tools and frameworks complies with all applicable laws, regulations, and platform policies (including but not limited to Meta Advertising Policies, TikTok Advertising Policies, and Google Ads Policies). Generated and adapted content should be reviewed before use.

6.4 No Exclusivity

You acknowledge that our hook frameworks and templates are available to all purchasers. We do not guarantee exclusivity of any framework, template, or generated content.

7. Third-Party Services

Certain parts of our Services rely on third-party platforms. By using our Services, you also agree to comply with the applicable terms of these platforms, including:

• OpenAI's Terms of Use (for Hook Doctor GPT)
• OpenAI's Usage Policies

We are not responsible for the practices, uptime, content, or services of any third-party platforms. Changes to third-party services may affect the availability or functionality of our Services.

8. Disclaimers

8.1 "As Is" Service

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.

8.2 No Guarantee of Results

We do not warrant or guarantee that:

• Use of our products will produce specific advertising results, revenue, or return on ad spend
• The Services will be uninterrupted, timely, secure, or error-free
• Any generated or adapted content will comply with specific platform advertising policies
• The frameworks or methodologies will work for your specific product, market, or audience

8.3 Your Responsibility

You are solely responsible for:

• Reviewing, editing, and testing all content before publishing
• Ensuring compliance with advertising platform policies and applicable laws
• All results (positive or negative) from using the Services or any content derived from them
• Your own advertising spend, budget decisions, and campaign management

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL AD HOOK VAULT LLC, ITS OWNERS, MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your access to or use of (or inability to access or use) the Services
• Any conduct or content of any third party on or through the Services
• Any content obtained from the Services
• Unauthorized access, use, or alteration of your transmissions or content
• Advertising campaign performance, results, or losses
• Platform policy violations, ad account suspensions, or ad disapprovals
• Loss of business, revenue, or anticipated savings

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

10. Indemnification

You agree to defend, indemnify, and hold harmless KA Digital, LLC d/b/a Ad Hook Vault and its owners, members, managers, officers, employees, affiliates, agents, licensors, and service providers from and against any and all claims, liabilities, damages, judgments, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: your violation of these Terms; your use of the Services; any content you create, publish, or distribute using our tools or frameworks; or your violation of any law, regulation, or third-party right.

11. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination: your right to use the Services will immediately cease; any licenses granted to you will terminate; we are not obligated to provide refunds for any amounts previously paid. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. We will provide notice of material changes by posting the updated Terms on this page and updating the "Last Updated" date. For significant changes, we may also notify you via email.

Your continued use of the Services after any changes constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, you must stop using the Services.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

Any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall first be attempted to be resolved through good-faith negotiation. If the dispute cannot be resolved through negotiation within 30 days, it shall be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association (AAA), with the arbitration conducted in the State of Wyoming or remotely at the arbitrator's discretion.

You agree that any dispute resolution proceedings will be conducted on an individual basis and not in a class, consolidated, or representative action.

14. Severability

If any provision of these Terms is held to be unenforceable or invalid by a court of competent jurisdiction, such provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

15. Waiver

Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision. Any waiver will be effective only if in writing and signed by a duly authorized representative of KA Digital, LLC d/b/a Ad Hook Vault.

16. Entire Agreement

These Terms, together with our Privacy Policy and Earnings Disclaimer, constitute the entire agreement between you and KA Digital, LLC d/b/a Ad Hook Vault regarding your use of the Services and supersede all prior and contemporaneous written or oral agreements, understandings, or representations.
